BETA TESTER AGREEMENT

IMPORTANT: This Beta Tester Agreement ("Agreement") governs your participation in the QuickBuild beta program. By accessing or using the QuickBuild beta software, you agree to be bound by this Agreement. If you do not agree, do not access or use the beta software.

This Beta Tester Agreement is entered into between Favored Holdings LLC, doing business as QuickBuild ("Company," "we," "us," or "our"), a company registered in Ohio, United States at 6545 Market Ave. North STE 100, Canton, OH 44721, and you, the individual or entity agreeing to participate in the QuickBuild beta program ("Beta Tester," "you," or "your").

1. BETA PROGRAM DESCRIPTION

QuickBuild is a field service management SaaS platform for small-to-mid-size trades and construction businesses including roofers, electricians, plumbers, and general contractors. The platform enables businesses to manage job scheduling, quoting, invoicing, team timekeeping, task tracking, client communication, and job cost reporting. QuickBuild includes AI-powered features including automated quote and scope generation, vendor quote parsing, and an AI assistant for product guidance and business data analysis.

The beta program ("Beta Program") provides selected individuals and businesses with early access to a pre-release version of the QuickBuild software and mobile application ("Beta Software") prior to its general commercial release. The purpose of the Beta Program is to test the Beta Software, identify bugs and issues, and gather user feedback to improve the product.

You acknowledge and agree that:

2. BETA ACCESS AND LICENSE

Subject to the terms of this Agreement, QuickBuild grants you a limited, non-exclusive, non-transferable, revocable, royalty-free license to access and use the Beta Software solely for the purpose of testing and evaluating the software during the Beta Program period.

This license does not permit you to:

Beta access is provided to you, and to any Authorized Users under Section 3, and is non-transferable outside your organization. QuickBuild reserves the right to revoke beta access at any time for any reason.

3. AUTHORIZED USERS AND COMPANY ACCOUNTS

If you are enrolling as a business entity, this Agreement is entered into by the individual with authority to bind that entity ("Signing Representative"). You may designate employees, contractors, or other personnel to access the Beta Software under your company account, each using their own individual login credentials ("Authorized Users").

By designating an Authorized User, you agree that:

This section does not create any direct contractual relationship between QuickBuild and your Authorized Users; QuickBuild's relationship for purposes of this Agreement remains with you as the Beta Tester.

4. NO WARRANTIES — BETA SOFTWARE

THE BETA SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent permitted by law, QuickBuild expressly disclaims all warranties with respect to the Beta Software, including but not limited to:

You acknowledge that QuickBuild makes no commitment to release a general availability version of the Beta Software, and that if such a version is released, it may be substantially different from the Beta Software you tested.

QuickBuild does not guarantee any specific uptime, availability, or response time for the Beta Software. The Beta Software may be taken offline at any time for maintenance, updates, or any other reason without notice.

5. DATA AND DATA LOSS

You acknowledge and accept the following risks with respect to your data during the Beta Program:

QuickBuild shall have no liability to you for any loss, corruption, or unavailability of data entered into or generated by the Beta Software during the Beta Program. By participating in the Beta Program, you accept full responsibility for any decision to enter real business data into the Beta Software.

Data Retention for Converting Beta Testers. Beta Testers who accept the Founding Circle Offer and convert to a paid subscription within thirty (30) days of the Beta Program's conclusion will retain access to all data entered during the Beta Program in their paid account, provided the data structure remains compatible between the beta and production versions of the Beta Software. QuickBuild will not delete, wipe, or migrate a converting Beta Tester's data without providing at least thirty (30) days' advance written notice and a reasonable opportunity to export such data. Beta Testers who do not convert to a paid subscription within the conversion window understand that their beta data may be deleted following the Beta Program's conclusion.

6. AI FEATURES DISCLAIMER

The Beta Software includes artificial intelligence features powered by Anthropic's Claude API, including automated quote generation, scope writing, vendor quote parsing, and the Quick AI assistant. You acknowledge and agree that during the Beta Program:

When you use AI-powered features, relevant data and queries are transmitted to Anthropic for processing in accordance with Anthropic's usage policies. Anthropic does not use this data to train their AI models.

7. FEEDBACK AND SUGGESTIONS

QuickBuild encourages Beta Testers to provide feedback, bug reports, feature suggestions, usability observations, and other input about the Beta Software ("Feedback"). Your Feedback is valuable to us and helps improve the product.

You agree that:

You represent that any Feedback you provide does not contain confidential information of any third party, and that you have the right to share such Feedback with QuickBuild.

8. CONFIDENTIALITY

During your participation in the Beta Program, you may have access to non-public information about QuickBuild's product, features, technology, pricing, roadmap, and business ("Confidential Information"). You agree to keep all Confidential Information strictly confidential and not to disclose it to any third party without QuickBuild's prior written consent.

Confidential Information includes but is not limited to:

Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this Agreement; (b) you already knew before receiving it from QuickBuild; (c) you receive from a third party without restriction; or (d) you are required to disclose by law or court order, provided you give QuickBuild reasonable advance notice.

Your confidentiality obligations under this section survive termination of this Agreement and your participation in the Beta Program for a period of two (2) years.

9. PROHIBITED CONDUCT

As a Beta Tester, you agree not to:

10. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless QuickBuild, Favored Holdings LLC, and their officers, directors, employees, and agents from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees, arising out of or related to: (a) your breach of this Agreement; (b) your use of the Beta Software in violation of applicable law; (c) data you enter into or transmit through the Beta Software, including any third-party personal data you input without proper consent; or (d) your Authorized Users' acts or omissions in connection with the Beta Software.

AI-Generated Content. If you share, send, or otherwise incorporate AI-generated content produced by the Beta Software (including quotes, scope documents, or estimates) into communications with your own clients or customers, you agree to indemnify, defend, and hold harmless QuickBuild from any claims, damages, or losses arising from that third-party use, consistent with your obligation under this Agreement to independently review and validate AI-generated content before sharing it with anyone outside your organization.

11. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, QUICKBUILD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR PARTICIPATION IN THE BETA PROGRAM OR YOUR USE OF THE BETA SOFTWARE, INCLUDING BUT NOT LIMITED TO:

QUICKBUILD'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING FROM OR RELATED TO THIS AGREEMENT OR THE BETA PROGRAM SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00), REGARDLESS OF THE FORM OR BASIS OF THE CLAIM.

You acknowledge that the Beta Software is provided free of charge and that the limitations of liability in this section reflect a reasonable allocation of risk between the parties given the nature of beta software testing.

Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above limitations may not apply, and you may have additional rights.

12. TERM AND TERMINATION

This Agreement begins on the date you first access the Beta Software and continues until terminated.

Termination by QuickBuild: QuickBuild may terminate your participation in the Beta Program and this Agreement at any time, for any reason or no reason, with or without notice. QuickBuild may also terminate the entire Beta Program at any time.

Termination by you: You may terminate your participation in the Beta Program at any time by ceasing all use of the Beta Software and notifying us at support@quickbuildhq.com.

Effect of termination: Upon termination of this Agreement for any reason:

13. CONVERSION TO PAID SERVICE

At the conclusion of the Beta Program, QuickBuild will offer Beta Testers the opportunity to transition to a paid subscription to the general availability version of QuickBuild. Beta Testers are under no obligation to purchase a paid subscription.

Founding Circle Offer. Beta Testers who were invited to join the Beta Program as members of QuickBuild's "Founding Circle" are entitled to the specific commercial terms, pricing, and benefits documented in their individual Founding Circle Offer Letter, which is signed at the time of beta enrollment and incorporated into this Agreement by reference. The terms of the Founding Circle Offer survive the conclusion of the Beta Program if the Beta Tester elects to convert to a paid subscription within the conversion window specified in their Founding Circle Offer Letter.

Conversion Window. The Founding Circle Offer is valid only if accepted and a paid subscription is activated within thirty (30) days of the Beta Program's conclusion. Beta Testers who do not convert within this window forfeit all Founding Circle benefits, including any pricing locks, discounts, and referral incentives, and may subscribe to QuickBuild only at then-current standard pricing.

Data Transferability. Subject to Section 5, data entered during the Beta Program will be retained in the Beta Tester's paid account upon conversion, provided the data structure remains compatible between the beta and production versions of the Beta Software.

Standard Terms Apply Post-Conversion. Following conversion to a paid subscription, the relationship between QuickBuild and the Beta Tester is governed by QuickBuild's standard Subscription Agreement and Terms and Conditions, available at https://quickbuildhq.com/terms, except as modified by the Founding Circle Offer Letter, which controls in the event of any conflict.

14. GENERAL TERMS

Governing Law. This Agreement is governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles.

Dispute Resolution. To expedite resolution and control cost, you and QuickBuild agree to first attempt to resolve any dispute arising under this Agreement informally, for at least thirty (30) days, before initiating arbitration. If informal negotiation does not resolve the dispute, it will be finally resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association ("AAA"), and, where applicable, the AAA's Supplementary Procedures for Consumer Related Disputes. Except where otherwise required by applicable AAA rules or law, arbitration will take place in Stark County, Ohio. If for any reason a dispute proceeds in court rather than arbitration, it shall be brought exclusively in the state or federal courts located in Stark County, Ohio, and each party consents to personal jurisdiction and venue there. Disputes seeking to protect intellectual property rights, or arising from allegations of theft, piracy, invasion of privacy, or unauthorized use, are not subject to this arbitration provision and may be brought directly in the courts described above. This provision is consistent with, and not in addition to, the dispute resolution terms in QuickBuild's standard Terms and Conditions at https://quickbuildhq.com/terms; if the two ever conflict, this Agreement controls for matters arising during your beta participation.

Entire Agreement. This Agreement, together with your Founding Circle Offer Letter (if applicable), constitutes the entire agreement between you and QuickBuild with respect to your participation in the Beta Program and supersedes any prior agreements or understandings regarding the same subject matter. In the event of any conflict between this Agreement and QuickBuild's standard Terms and Conditions, this Agreement shall control with respect to your beta participation.

Amendment. QuickBuild reserves the right to modify this Agreement at any time. We will notify you of material changes by email or through the Beta Software. Your continued participation in the Beta Program after such notice constitutes acceptance of the modified Agreement.

Severability. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

No Waiver. QuickBuild's failure to enforce any provision of this Agreement shall not constitute a waiver of its right to enforce that provision in the future.

Assignment. You may not assign your rights or obligations under this Agreement without QuickBuild's prior written consent. QuickBuild may assign this Agreement freely.

Independent Contractor. Your participation in the Beta Program does not create any employment, partnership, joint venture, or agency relationship between you and QuickBuild.

Age Requirement. You represent that you are at least 18 years old and have the legal capacity to enter into this Agreement. If you are agreeing on behalf of a business entity, you represent that you have the authority to bind that entity and to bind any Authorized Users you designate under Section 3.

Electronic Signature. You agree that this Agreement may be signed electronically, and that your electronic signature has the same legal force and effect as a handwritten signature, under the federal ESIGN Act and Ohio's Uniform Electronic Transactions Act.
